These Terms of Service ("Terms") govern your access to and use of Zenops Studio, including any purchase of digital assets from our store. Please read them carefully. By creating an account, browsing, or purchasing, you agree to be bound by these Terms.
1. Who we are and what this is
Zenops IT (the legal entity identified with its registered address on our Contact page) operates Zenops Studio, a first-party digital asset store dedicated exclusively to selling digital products created and owned by us.
Zenops Studio is not a marketplace, platform, or venue for third-party sellers. Every digital asset in our catalog is produced, curated, managed, and sold directly by Zenops IT to customers for use under the applicable license terms.
Zenops IT operates as a legally licensed business in Bangladesh under a Trade License issued by Dhaka North City Corporation (DNCC), which authorizes our commercial operations.
2. Acceptance and eligibility
By creating an account, browsing Zenops Studio, or purchasing any digital asset from our store, you agree to be bound by these Terms and all policies incorporated into them, including our Licensing terms, Refund Policy, and Privacy Policy.
You must be at least the age of majority in your jurisdiction and legally capable of entering into a binding agreement. If you access or purchase from Zenops Studio on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.
3. Accounts
You are responsible for providing accurate and current account information, maintaining the confidentiality and security of your login credentials, and all activity conducted through your account. You must notify Zenops IT promptly if you become aware of unauthorized access to or suspected misuse of your account.
Zenops IT may suspend or terminate an account for violations of these Terms, fraudulent activity, abuse, security risks, or other unlawful conduct.
Licenses survive account termination. Unless termination results from fraud, payment reversal, chargeback abuse, or another material violation affecting the validity of a transaction, licenses for digital assets lawfully purchased before termination remain valid under the applicable license terms.
4. Ownership of the catalog
Zenops IT owns, or has secured all necessary rights to, every digital asset offered through Zenops Studio.
All purchases are direct sales by Zenops IT from our own catalog. No third-party seller, contributor, or marketplace participant sells digital assets to customers through this site. Your purchase contract is with Zenops IT.
5. Licenses
All digital assets purchased from Zenops Studio are licensed under the terms set out on our Licensing page, which is the governing source for the applicable license grant.
Each license is granted directly by Zenops IT, is personal to the purchasing account, non-transferable, and non-exclusive. Purchasing or downloading an asset does not transfer copyright, intellectual property rights, or ownership of the underlying work to the customer.
6. Orders, pricing and payment
All prices on Zenops Studio are displayed in USD, with applicable taxes added or collected where required by law.
Placing an item in your cart does not create a contract; an order becomes binding only after successful payment and order confirmation. Zenops IT reserves the right to correct genuine pricing or listing errors and to cancel affected orders, with any collected payment refunded where applicable.
Merchant of Record. Customer payments are processed by an authorized payment provider acting as Merchant of Record on behalf of Zenops IT. This means the buyer's payment transaction is handled by that provider, while the digital asset license is granted directly by Zenops IT under our Licensing terms. Zenops ITdoes not receive or store customers' full payment-card details, as further explained in our Privacy Policy.
7. Delivery and downloads
All products sold through Zenops Studio are digital products only; no physical goods are shipped or delivered.
After successful payment confirmation, purchased assets are made available for download through your account and the designated Downloads section. Eligible purchases may be re-downloaded from your account while access remains available. If a download link expires, becomes unavailable, or experiences a technical issue, Zenops IT may re-issue or restore the download link after verifying the purchase.
8. Refunds
Refunds for purchases made through Zenops Studio are governed by our Refund Policy, which sets out the applicable eligibility requirements and procedures.
Because our products are delivered digitally, by completing a purchase you expressly consent to immediate delivery of the digital content and, to the extent permitted by applicable law, acknowledge that you may lose or waive any statutory cooling-off or withdrawal right once delivery or access begins. Nothing in this policy limits any non-waivable consumer rights available under applicable law.
9. Custom orders
A custom-order request becomes binding only after Zenops IT confirms the project scope, price, delivery terms, and payment, and the customer accepts those terms.
- Scope and revisions. The agreed scope specifies the included deliverables and number of revisions. Work beyond that scope may require additional fees and approval.
- Ownership. Unless otherwise expressly agreed in writing, ownership of the underlying intellectual property remains with Zenops IT, and the completed deliverable is licensed to the customer under the applicable Zenops Studio License.
- Payment. Payment is due according to the terms stated in the custom-order confirmation, and may be required in full or in agreed stages before work begins or final files are delivered.
- Cancellation. Custom orders may be cancelled only in accordance with the agreed project terms. Deposits or payments for work already completed may be non-refundable.
- Abandonment. If a customer fails to provide required feedback, materials, approvals, or payment for an extended period, Zenops IT may treat the project as abandoned and close the order after reasonable notice.
10. Acceptable use
You may use Zenops Studio only for lawful purposes and in accordance with these Terms and the applicable License. You must not:
- misuse the site or interfere with its security or operation;
- scrape or bulk-download assets through automated means;
- share account credentials;
- circumvent download or access limits;
- reverse-engineer the website or its systems; or
- resell, redistribute, sublicense, or make purchased files available to others except where expressly permitted by the applicable License.
11. Your content
Although Zenops Studio does not currently accept third-party contributor assets for sale, users may submit content such as reviews, custom-order briefs, reference files, and support messages.
You retain ownership of your submitted content, but grant Zenops IT a non-exclusive, royalty-free license to host, store, process, reproduce, and where appropriate publicly display that content for the purpose of operating and supporting Zenops Studio. Zenops IT may moderate, restrict, or remove submitted content that violates these Terms, applicable law, third-party rights, or our content standards.
12. Third-party intellectual property and takedowns
Zenops IT respects third-party intellectual property rights.
If you believe content available through Zenops Studio infringes your copyright or other intellectual property rights, you may submit a written takedown notice to our designated IP contact using the details in the Contact section below, identifying:
- the protected work;
- the allegedly infringing material;
- your contact information; and
- a good-faith statement supporting your claim.
Zenops IT may investigate and remove or restrict access to disputed material where appropriate. If material is removed following a notice, the affected party may submit a counter-notice with supporting information requesting restoration. Zenops IT will review notices and counter-notices in good faith and take appropriate action in accordance with applicable law.
13. Warranties and disclaimers
Zenops IT represents that it owns or has secured the necessary rights to license the digital assets offered through Zenops Studio.
Except for this commitment and any rights that cannot legally be excluded, the website and related services are provided "as is" and "as available." Zenops IT does not guarantee uninterrupted, error-free, or continuously available access to the site, downloads, or supporting services, and disclaims other warranties to the maximum extent permitted by applicable law.
14. Limitation of liability
To the maximum extent permitted by applicable law, Zenops IT will not be liable for any indirect, incidental, special, consequential, or loss-of-profit damages arising from the use of Zenops Studio or its digital assets.
Zenops IT's total liability for any claim relating to a specific purchase will not exceed the amount paid for the asset giving rise to the claim, or, where appropriate, the customer's total payments to Zenops IT during the preceding 12 months.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.
15. Indemnity
To the extent permitted by applicable law, you agree to indemnify and hold Zenops IT harmless from claims, losses, damages, liabilities, and reasonable costs arising from your misuse, unauthorized redistribution, or use of digital assets outside the rights granted under the applicable Zenops Studio License, including violations of these Terms or third-party rights.
16. Termination
Zenops IT may suspend or terminate access to Zenops Studio for breaches of these Terms, fraud, unlawful activity, payment disputes, or misuse of the store or its digital assets. Upon termination, access to the account and related services may cease.
Valid licenses granted before termination will survive, except where the underlying purchase involved fraud, chargebacks, payment reversal, or invalid licensing activity.
Provisions concerning intellectual property, licenses already granted, limitation of liability, indemnity, and governing law continue to apply after termination.
17. Changes to these Terms
Zenops IT may update these Terms periodically to reflect changes to our services, policies, legal requirements, or business operations. The "Last updated" date at the top of this page identifies the latest revision.
For material changes, Zenops IT will provide reasonable notice to registered account holders — such as by email or an account notification — before the changes take effect, where required or appropriate. Continued use of Zenops Studio after the effective date constitutes acceptance of the revised Terms, subject to applicable law.
18. Governing law and disputes
These Terms, including the applicable Zenops Studio Licensing terms, are governed by and construed in accordance with the laws of Bangladesh, without regard to conflict-of-law principles.
Any dispute arising from or relating to Zenops Studio, a purchase, or an applicable license will be subject to the exclusive jurisdiction of the competent courts in Bangladesh, except where applicable law provides otherwise. All related policies and licensing terms should be interpreted consistently with this governing-law provision.
